About the role

  • Armada is seeking a pragmatic, business-minded Senior Corporate Counsel to join our Legal team, reporting directly to the Head of Legal.
  • As Senior Corporate Counsel, you will serve as a trusted advisor to leadership and cross-functional stakeholders across Finance, People, and Operations, helping Armada scale responsibly and efficiently.

Responsibilities

  • Own corporate governance matters, including preparation of board and committee materials, resolutions, minutes, and consents, and maintenance of corporate records across the corporate group.
  • Lead legal workstreams for strategic transactions, including mergers and acquisitions, investments, financing transactions, and strategic partnerships
  • independently manage diligence, structuring support, and documentation from inception through close.
  • Develop and implement corporate policies, compliance programs, and risk management processes as Armada scales globally, including policies governing insider trading, conflicts of interest, and corporate conduct.
  • Select, direct, and manage outside counsel on corporate, employment, compliance, and transactional matters, ensuring quality and cost efficiency.
  • Design and own legal templates, playbooks, workflows, and operational processes that drive efficiency and scalability, and guide their adoption across the company.
  • Mentor and support more junior legal team members and cross-functional partners as the Legal function grows.

Requirements

  • Deep expertise in corporate law, commercial transactions, and corporate governance
  • Demonstrated track record independently leading strategic transactions, financing matters, and M&A from diligence through close
  • Exceptional drafting, negotiation, organizational, and project management skills, with the ability to run multiple complex workstreams in parallel
  • Ability to distill complex legal concepts into practical, decision-ready guidance for executives and business stakeholders
  • Proven ability to operate autonomously in a fast-paced, evolving environment, determining approach and methods on new matters with minimal oversight

Nice to have

  • 6+ years of relevant legal experience, including training at a top law firm
  • meaningful in-house experience at a high-growth technology company strongly preferred
  • Interest in infrastructure, AI, emerging technologies, or high-growth technology businesses is a plus

Compensation

  • For U.S. Based candidates: To ensure fairness and transparency, the starting base salary range for this role for candidates in the U.S. are listed, varying based on location experience, skills, and qualifications.
  • In addition to base salary, this role will also be offered equity and subsidized benefits (details available upon request).
  • Drive subsidiary management and entity governance across domestic and international jurisdictions, including formations, qualifications, annual filings, and compliance obligations
  • 14 paid company holidays per year
  • $193,568 - $241,960 USD
