About the role
- CoreWeave is seeking a dynamic Senior Counsel, Capital Markets, to join our Legal and Government Affairs team.
- This is an exciting opportunity to work on sophisticated, high-impact transactions in a fast-paced, high-growth environment while serving as a trusted legal advisor to the business.
Responsibilities
- Support a range of complex corporate transactional matters, including capital markets transactions, M&A, and strategic investments.
- Draft, negotiate, and review a broad range of transaction documentation, provide advice on deal structuring and strategy, and conduct and support due diligence and ongoing compliance.
- Partner with Corporate Development and other cross-functional teams to execute transactions.
- Support legal and other departments in the management of post-closing obligations.
- Work collaboratively to prioritize business objectives and support overall company success.
- Support other internal legal initiatives and projects, as needed.

Requirements
- 5+ years of relevant transactional experience, with a focus on corporate capital markets transactions, M&A, and securities.
- Ability to operate autonomously on certain corporate transactions and handle multiple matters simultaneously.
- Ability to balance legal risk mitigation against key business objectives and risks.
- You enjoy solving complex legal and business challenges in fast-paced environments.
Nice to have
- J.D. from an ABA accredited law school and active admission in at least one state bar (New York, New Jersey, California, Washington D.C., or Washington preferred).

Compensation
- The base salary range for this role is $157,000 to $210,000.
