Responsibilities
- Support public company governance and securities law compliance, including preparation and filing of SEC reports (Forms 10-K, 10-Q, and 8-K).
- Support finance and capital markets transactions, including debt financings, working capital facilities, and derivative transactions.
- Provide legal support to Investor Relations, including review of press releases, investor presentations, proxy statements, and other stockholder meeting materials.
- Manage and coordinate outside counsel as needed.

Requirements
- Juris Doctor (JD) degree and active license to practice law in the U.S.
- Minimum 5+ years of legal experience at a law firm or in-house advising public companies.
- Experience advising clients in securities law and SEC reporting and compliance matters.
- Experience with capital markets and corporate finance transactions.
- Demonstrated project management experience in a dynamic corporate environment.
- Highly organized with ability to work both independently and in cross-functional teams.
- Excellent written, verbal and interpersonal communication skills, attention to detail, and the ability to handle multiple projects at one time.
- Ability to communicate effectively with senior management and internal and external stakeholders.

- We are focused on delivering secure and cost-effective energy through the safe and efficient development and operation of natural gas liquefaction capacity at Rio Grande LNG.
- Through our subsidiaries, we are developing and constructing the Rio Grande LNG natural gas liquefaction and export facility near Brownsville, Texas, with approximately 48 MTPA of potential liquefaction capacity currently under construction or in development, sufficient space at the site for up to 10 liquefaction trains, and a potential carbon capture and storage project.
- SUMMARY OF THE ROLE The Counsel, Corporate position will be responsible for advising on public company governance, securities law, finance and capital markets transactions, and general corporate matters.
- This role will work closely with senior management and cross-functional teams including Finance, Accounting, Investor Relations and Human Resources.
