Responsibilities
- Prepare corporate documents, such as charter documents and board and shareholder actions
- Conduct research to prepare and manage corporate and securities filings
- Perform public company governance filings and tasks, such as Section 16 reporting and legend removal requests
- Compile and distribute closing documents and closing volume
- Provide support for franchise taxes and notices to clients
- Organize client records and maintain files
Requirements
- Bachelor's Degree or Paralegal Certificate at accredited college or university
- 7+ years of corporate paralegal experience at law firm
- Strong working knowledge of corporate tasks for private companies
- Experience with securities and corporate laws
- Experience in capitalization management platforms such as Carta and Shareworks
Compensation
- Assist with annual compliance matters
