Responsibilities
- Manage entity lifecycle activities, including formations, dissolutions, and officer/director changes.
- Maintain accurate and up-to-date corporate records and governance documentation.
- Support Board of Directors and Committee operations, including scheduling and logistics.
- Support SEC filings and corporate governance initiatives.
- Partner cross-functionally with Legal, Finance, Tax, Treasury, HR and business teams.
- Manage relationships with outside counsel and third-party vendors supporting subsidiary operations.
- Support internal stakeholders with governance-related requests.
- Maintain and enhance corporate records systems
- Own and manage global compliance calendars and statutory filing requirements.

Requirements
- Bachelor's degree or paralegal certification required.
- 7 + years of experience in corporate law or subsidiary management (law firm or in-house).
- Experience supporting Board of Directors and corporate governance activities.
- Proficiency with Microsoft Office and governance tools (e.g., Diligent).
- $87,600- $116,050 (subject to variation depending on physical location).
- Posted salary ranges are provided in good faith. embecta reserves the right to adjust ranges depending on the selected candidate's experience, qualifications, external market conditions, and internal equity considerations.
- Base pay is one component of the Total Rewards package at embecta, which also includes eligibility for an annual bonus.
