About the role

  • Cypress Creek is currently seeking a Corporate Counsel to join the Company's Legal team.
  • The position will report directly to the General Counsel.
  • This individual will be expected not just to accommodate, but to advocate business considerations in the performance of their role

Responsibilities

  • Act as legal lead on the acquisition and sale of solar energy facilities and battery energy storage systems at all stages of development, construction or operation.
  • Draft and negotiate transaction documents including purchase and sale agreements, disclosure schedules, and other ancillary documents.
  • Manage internal paralegals to support transactions and contract negotiations.
  • Manage outside legal counsel, as needed, to facilitate project finance and M&A transactions and development efforts.
  • Engage with internal executives, Investment Committee and Board of Directors, and external investors and corporate lenders, in support of approving and executing transactions and key contracts.
  • Collaborate regularly with other members of the legal team to help solve issues on their deals and contracts.
  • Draft and negotiate financing documents including loan agreements, partnership agreements, security agreements and guarantees.

Requirements

  • Minimum 5 years of experience with a law firm or in-house legal department.

Compensation

  • The salary range for the position is $200,000-$230,000 plus bonus and benefits.
  • Compensation may vary outside of this range depending on a number of factors, including a candidate's qualifications, skills, competencies and experience, and location.

  • Work directly with outside lenders, tax equity investors, project buyers and sellers and other business partners to negotiate commercial issues.
