Responsibilities
- Building at Webflow will need grit, because we move fast, without ever sacrificing craft or quality.
- Manage preparation for board and committee meetings, prepare materials, maintain corporate records and minutes, advise on governance practices
- Lead legal due diligence, negotiate transaction documents, and manage post-acquisition integration from a legal perspective
- Build and lead Webflow's corporate legal team, manage outside counsel relationships, and optimize and create scalable corporate legal processes and operations
- Build lasting customer trust. We build trust by taking action that puts customer trust first.
- Deliver with speed, quality, and craft. We move fast because the moment demands it, and we do so without lowering the bar.
- Board Administration: Manage preparation for board and committee meetings, prepare materials, maintain corporate records and minutes, advise on governance practices
- M&A Support: Lead legal due diligence, negotiate transaction documents, and manage post-acquisition integration from a legal perspective
- Public Company Readiness: Drive Webflow's public company readiness, including due diligence coordination and working with external counsel.
- Ownership in what you help build.
Requirements
- JD degree with at least one active bar membership
- 10+ years of relevant experience, with experience at a nationally-recognized law firm (required), and ideally a mixture of late stage private and public company experience
- Experience with securities laws, corporate governance, M&A transactions, SEC reporting requirements, and SOX requirements
- Experience with driving public company readiness, or managing public company compliance
Nice to have
- Possess excellent leadership, communication, and project management skills
- Operate with a strategic, pragmatic mindset with ability to balance legal risk management with business objectives
- Have experience in technology or SaaS industry (preferred)
- Are a creative thinker, collaborative, and excited to contribute to a lean but growing Legal team on a variety of projects which may fall outside of your core expertise
- Have a track record of forming and maintaining strong cross-functional relationships
- Are accountable, adaptable and an effective multi-tasker.

Compensation
- The cash compensation for this role is tailored to align with the cost of labor in different geographic markets.
