About the role
- Corporate Counsel Technology Auto Club Enterprises is seeking a junior Corporate Counsel to join its Privacy, Technology & Data Security Practice Group.
- The position requires sound judgment regarding the protection of members and insured information, confidential business information, and the AAA brand and related trademarks.
- We have nearly 17,000 employees in 24 states helping more than 18 million members.
Responsibilities
- Support technology transactions for ACE's insurance and motor club operations across multiple states, including arrangements involving claims, underwriting, policy administration, member services, roadside assistance, automotive services, travel, financial services, identity protection, and related business functions.
- Support applicable regulatory cooperation requirements related to data privacy and security.
- Collaborate with legal and business teams on procurement processes, negotiation strategy, intellectual property, privacy, cybersecurity, and data use.
- Support the development and improvement of contract templates, fallback language, negotiation playbooks, intake processes, approval workflows, training materials, and other legal operations resources.
- Identify and responsibly use contract lifecycle management tools, document automation, legal research platforms, workflow tools, and generative AI tools to improve the legal team's efficiency, subject to appropriate confidentiality, privilege, accuracy, and information security safeguards.
- Manage multiple transactions and projects simultaneously, communicate status and risk clearly, and help move matters to completion within business deadlines.
- The Corporate Counsel will work with junior and senior technology transaction attorneys to review, draft, negotiate, and close agreements involving technology vendors, software and SaaS providers, data providers, consultants, service providers, and other strategic partners.
- The role will also provide opportunities to support related matters involving privacy, data security and incidents, intellectual property, and financial regulatory compliance.
- The ability to recognize and weigh business and legal risks, think strategically, and recommend practical solutions that support business goals and deadlines.
- Demonstrated ability to collaborate effectively with attorneys, business stakeholders, technology professionals, procurement teams, privacy and security personnel, and external vendors to achieve business and legal objectives.
Requirements
- A J.D. degree from an ABA-approved law school.
- Experience drafting and negotiating commercial agreements and the ability to identify legal material, operational, privacy, data security, intellectual property, and business risks.
- Working knowledge of privacy, data incident/security, intellectual property, technology procurement, and commercial contracting principles.
- Familiarity with the legal and operational issues associated with consumer-facing businesses, insurance companies, financial services companies, motor clubs, or other regulated industries.
- Strong organizational, analytical, writing, negotiation, and communication skills, including the ability to express complex legal issues in clear, concise, and business-friendly language.
- A demonstrated willingness and ability to use AI tools and other legal technology to improve legal work, subject to appropriate confidentiality, security, accuracy, and professional responsibility safeguards.
- Knowledge of intellectual property matters, including trademark counseling, copyright licensing, open-source software compliance, software ownership rights, and intellectual property portfolio management.
- Familiarity with data incident response, vendor risk management, information security questionnaires, security addenda, or technology governance processes.
Compensation
- $160,500.00 - $214,100.00 Additionally, for full time positions, you will be eligible to participate in our incentive program based upon the achievement of organization, team and personal performance.
