About the role

  • Ramp runs a growing portfolio of U.S. and non-U.S. entities - including regulated and licensed subsidiaries - across a business that ships constantly and raises, acquires, and expands on short notice.
  • You will be the person who keeps that machinery accurate, current, and audit-ready.
  • We are a small, high-leverage team supporting a company that moves quickly, so you'll cover a lot of ground and be trusted to run matters independently.

Responsibilities

  • KYC, UBO, and diligence: Respond to KYC/UBO and diligence requests from bank partners, regulators, auditors, insurers, and counterparties, and build reusable packages.
  • Transaction support: Run diligence support, signature collection, closing checklists, closing binders, and post-closing obligations for financings, credit facilities, M&A, real estate, and insurance renewals.
  • Commercial and cross-functional support: Assist with powers of attorney, delegations of authority, and corporate approvals needed by the business.
  • Employment support: Support employment- and immigration-related requests and filings.
  • Litigation support: Support subpoena and law enforcement requests, legal holds, e-discovery, and document production.
  • Strong written and verbal communication skills and the judgment to work directly with executives, board members, outside counsel, and cross-functional partners.

Requirements

  • Bachelor's degree or equivalent practical experience.

Nice to have

  • Experience supporting venture financings, secondaries, M&A integration, or IPO readiness.
  • International entity management experience across EMEA, APAC, LATAM, or Canada.
  • Experiencing with litigation or employment matters.
  • Notary Public commission (NY or CA), or willingness to obtain one.
  • ABA-approved paralegal certificate.
  • A track record of using AI or automation to eliminate manual legal work.
  • Budget for intra-office travel
  • 401(k), including employer match on contributions made while employed by Ramp

Compensation

  • Entity management: Own the full lifecycle of entity administration - formations and dissolutions, foreign qualifications, annual reports, franchise tax filings, registered agent management, signatories, officer and director lists, post-integration cleanup.
  • Fertility HRA (up to $10,000 per year)

Benefits

  • Centralized home-office equipment ordering
  • Health and wellness stipend
  • Weekly coffee stipend
  • 100% medical, dental & vision insurance coverage for you, with partial coverage for dependents
