Responsibilities

  • Serve as the primary legal partner for the Company's commercial and business development organizations.
  • Lead and support the negotiation, drafting, review, and execution of complex commercial agreements across the Company's distribution, products, and kitting businesses.
  • Develop and implement scalable contracting strategies, templates, playbooks, and processes that support efficient deal execution while appropriately managing risk.
  • Partner with Sales, Business Development, Procurement, Supply Chain, Operations, and Finance to structure commercially attractive agreements that align with the Company's strategic and financial objectives.
  • Partner with commercial leadership to develop and execute legal strategies related to GPO participation, contracting, pricing, rebates, administrative fees, compliance obligations, and customer access.
  • Collaborate with Sales, Finance, Compliance, and other stakeholders to ensure GPO arrangements are commercially effective and appropriately structured from a legal, regulatory, and operational perspective.
  • Support strategic initiatives involving new products, services, distribution models, partnerships, and other growth opportunities.
  • Manage international legal team, who serve as the legal advisors for the Company's international commercial operations and business activities.
  • Develop and maintain appropriate legal frameworks and contracting strategies for international markets.
  • Support the Company's international business leaders in identifying and managing legal and commercial risks while enabling growth.

Requirements

  • Proven leadership and team management experience.
  • Experience with legal operations and technology tools.
  • Education & Experience
  • Juris Doctor (JD) from an accredited law school.
  • Active bar membership in good standing.
  • 20+ years of relevant legal experience, including in-house leadership roles within healthcare, distribution, or related industries.
  • Skills & Competencies
  • Deep understanding of healthcare regulatory landscape (e.g., HIPAA, FDA, fraud and abuse laws).
  • Strategic thinker with strong business acumen.
  • Exceptional negotiation, communication, and stakeholder management skills.
