  • Edelman is seeking a Corporate Governance Paralegal to join our Legal & Compliance team in Chicago.

Responsibilities

  • Manage and maintain global corporate records, minute books, and entity management systems.
  • Support entity formations, dissolutions, restructurings, and intercompany governance matters.
  • Partner with outside counsel and internal stakeholders to ensure timely and accurate compliance with corporate requirements.
  • Track and maintain corporate calendars to ensure filing deadlines are met.
  • Project Management & Operational Support
  • Lead and manage cross-functional legal and compliance projects, including corporate clean-up initiatives, governance modernization, and regulatory reporting workflows.
  • Manage project timelines, trackers, and reporting dashboards.
  • Drive process improvements to enhance efficiency, documentation, and risk mitigation.
  • Support internal audits and compliance reviews.
  • Legal & Compliance Team Support

Requirements

  • At least 3 years of experience as a corporate paralegal at an agency, in-house, or at a law firm
  • Bachelor's degree or equivalent work experience
  • The ideal candidate is collaborative, intellectually curious, detail-oriented, and comfortable managing complex processes in a fast-paced environment.

Nice to have

  • Demonstrated expertise in global corporate records management and statutory filings.
  • Experience with regulatory filings at the Federal and/or State level or willing to be trained on them to handle
  • Notary Public (or willingness to become a Notary upon hire).
  • Advanced proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).
  • Experience using AI productivity tools such as ChatGPT and Microsoft Copilot to enhance workflow efficiency.
  • Exceptional organizational skills and attention to detail.
  • Strong written and verbal communication skills.
  • Proven ability to work independently while thriving in a collaborative, team-oriented environment.
