About the role
- Nous recherchons un(e) avocat(e) interne En tant qu'avocat(e) interne chez Smardt pour la région Amérique, vous gérerez un portefeuille varié de dossiers juridiques d'ordre sociétaire et commercial couvrant le Canada et les États-Unis.
Responsibilities
- Support Draft, review, and negotiate commercial agreements for the AMER region, including: Sales, distribution, lease, service, and master supply agreements
- Support regional commercial teams with contract structures, risk allocation, and negotiation strategy.
- Support Advise on regulatory obligations affecting the business across Canada and the United States.
- Support maintenance of regional entities, including statutory compliance and corporate records.
- Support Draft, review, and negotiate commercial agreements for the AMER region, including: Sales, distribution, lease, service, and master supply agreements; Procurement and supplier contracts; Manufacturing, warehousing, and logistics arrangements; NDAs, licensing agreements, and project-specific terms.
- Support intercompany agreements and entity structuring, including mergers & acquisitions
- Maintain proper documentation and governance records for the region.
- Support the business with escalated legal issues related to customer and supplier disputes, warranty claims, and collections.

- As an in-house lawyer at Smardt for the Americas region, you will manage a diverse portfolio of corporate and commercial legal matters spanning Canada and the United States.
