About the role

  • Altera is seeking a practical and collaborative Corporate Counsel to join its Corporate Legal team.
  • The pay range below is for Bay Area California only.

Responsibilities

  • Support the Board, committee, and stockholder-meeting processes, including agendas, materials, minutes, resolutions, consents, governance documents, and related corporate records.
  • Lead the preparation of or a ssist with SEC filings, proxy materials, registration statements, Section 16 filings, disclosure controls, reporting calendars, insider-trading compliance, and related securities-law processes, as applicable.
  • Provide broad legal support to Finance on financial reporting, treasury and other strategic initiatives, partnering with internal stakeholders and outside advisors as needed.
  • Partner with Finance, Accounting, Investor Relations, and Communications on earnings releases, investor presentations, press releases, website disclosures, and other external communications, including Regulation FD considerations.
  • Help develop or assist with legal processes, workflows, compliance infrastructure, and governance practices

  • The role offers a strong law-firm-trained attorney the opportunity to become a trusted business partner to senior legal leadership and other key internal stakeholders.

Requirements

  • 5+ years of relevant corporate legal experience at a leading law firm, with substantive training in corporate, securities, capital markets, executive compensation, or corporate-governance matters.
  • Sound judgment, integrity, discretion, and the ability to handle highly confidential information.
  • Applicants must be eligible for any required U.S. export authorizations.
  • What you will bring
  • J.D. from an accredited law school and active membership in good standing in California
  • eligibility to practice in-house in California.
  • Strong foundation in corporate governance, corporate legal drafting, and managing complex matters with close attention to detail and deadlines.
  • Experience with, or a demonstrated desire to develop expertise in, SEC reporting, public-company disclosure, equity compensation, executive compensation, and Board support.
  • Ability to independently drive assigned workstreams, exercise sound judgment, and appropriately identify and escalate issues.
  • Strong written, verbal, analytical, organizational, and project-management skills.
  • Ability to build trusted relationships across functions and work effectively in a fast-paced, collaborative environment.
  • Ability to work from in-office location in San Jose.
  • Experience with Workiva, Diligent, equity-administration platforms, or comparable corporate-legal tools.
